End-User License Agreement

This End-User License Agreement ("EULA") is a legal agreement between you ("you", "Licensee") and Yehuda Ben David ("we", "us", "Licensor"), the developer of the TabBar for Word and TabBar for Excel applications for macOS (each, the "Software").
By installing, copying, or otherwise using the Software, you agree to be bound by this EULA. If you do not agree, do not install or use the Software.
1. Licence grant
Subject to your payment of the applicable license fee and ongoing compliance with this EULA, we grant you a non-exclusive, non-transferable, revocable licence to:
- Install and use the Software on up to three (3) Macs that you own or control
- Use the Software for your personal or internal business purposes
Each TabBar for Word and TabBar for Excel license is sold separately. A TabBar for Word license does not grant rights to TabBar for Excel and vice versa.
2. Restrictions
You agree not to:
- Copy or distribute the Software, except for a single backup copy for archival purposes
- Sell, rent, lease, sublicense, or transfer the Software or your license to a third party (except as expressly permitted in section 3)
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms of the Software, except to the extent this restriction is prohibited by applicable law (in which case you must notify us in advance and accept any limitations we propose)
- Modify, adapt, or create derivative works of the Software
- Remove, alter, or obscure any copyright, trademark, or other proprietary notice in the Software
- Use the Software to develop a competing product
- Bypass or attempt to bypass the license-validation mechanism
- Use the Software in violation of any applicable law or regulation
3. Licence transfer between your devices
You may deactivate a license on one Mac and reactivate it on another, as long as the total number of active devices does not exceed three (3) at any time. The deactivation feature is available through the Software or by contacting wordtab.support@bdtech.app / exceltab.support@bdtech.app.
4. Ownership
The Software is licensed, not sold. We and our licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. This EULA grants you only the rights expressly stated. All other rights are reserved.
5. Updates
We may, at our discretion, provide updates, bug fixes, and improvements to the Software. Updates are made available to all licensed users at no additional charge for the duration of the license, subject to compatibility with current macOS versions. We may discontinue support for older macOS versions with reasonable notice.
6. Licence validation
The Software periodically connects to Lemon Squeezy's license-validation service to verify that your license is active and that the device limit is not exceeded. The data exchanged in this process is described in our Privacy Policy. If license validation fails (for example, if the license has been refunded, revoked for breach of this EULA, or the device limit is exceeded), the Software may stop functioning.
7. Term and termination
This EULA takes effect when you install the Software and continues until terminated.
You may terminate this EULA at any time by uninstalling the Software and deactivating your license. If you have already paid for a license, deletion does not entitle you to a refund except as required by Lemon Squeezy's refund policy or applicable consumer-protection law.
We may terminate this EULA immediately if you materially breach it (including the restrictions in section 2). Upon termination you must stop using the Software and uninstall all copies. Sections 4 and 8–12 survive termination.
8. No warranty
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING (TO THE EXTENT PERMITTED BY LAW) WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.
We do not warrant that the Software will be uninterrupted, error-free, or compatible with every macOS version, hardware configuration, or third-party software (including Microsoft Word and Microsoft Excel).
Some jurisdictions do not allow the exclusion of certain warranties. To the extent we cannot lawfully disclaim a warranty, our liability is limited as set out in section 9.
9. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SOFTWARE.
Our total aggregate liability for any claim arising out of or in connection with this EULA will not exceed the amount you actually paid for the Software in the twelve months preceding the claim.
Nothing in this EULA limits liability that cannot lawfully be limited, including liability for fraud, gross negligence, death, or personal injury caused by negligence.
10. Third-party software
The Software is designed to integrate with Microsoft Word and Microsoft Excel. We are not affiliated with, endorsed by, or sponsored by Microsoft Corporation. "Microsoft", "Word", and "Excel" are trademarks of Microsoft Corporation.
The Software may also use open-source components. The respective open-source licences are reproduced in the "Acknowledgements" section of the Software or provided on request.
11. Export and sanctions
You may not use, export, or re-export the Software in violation of any applicable export-control or sanctions law, including the regulations of the United States, the European Union, the United Kingdom, or Israel.
12. Governing law
This EULA is governed by the laws of the State of Israel, without regard to its conflict-of-laws rules. The competent courts of Tel Aviv-Yafo will have exclusive jurisdiction, except that consumers in the European Union and other jurisdictions may have the right to bring proceedings in their place of residence under applicable mandatory law.
13. Severability and entire agreement
If any provision of this EULA is held unenforceable, the remaining provisions will continue in full force. This EULA, together with our Privacy Policy and Terms of Service, constitutes the entire agreement between you and us regarding the Software.
